Force Majeure Policy
- Definition
“Force Majeure” or “Major Disruptive Events” means any exceptional event or circumstance beyond the reasonable control of the parties (the host, the tenant, or the platform) that makes it impossible or significantly difficult to perform contractual obligations or continue providing services in the normal manner. - Examples of Major Disruptive Events
Such events include, without limitation:
• Natural disasters, including earthquakes, floods, storms, fires, and landslides.
• Epidemics or pandemics, such as coronavirus outbreaks or similar contagious diseases.
• Political or security disturbances, including wars, riots, coups, or acts of terrorism.
• Government decisions or restrictions, including city lockdowns, curfews, or suspension of travel or movement.
• Sudden and widespread interruption of essential services such as electricity, internet, or water.
• Any other exceptional circumstances that directly prevent the performance of contractual obligations despite reasonable efforts. - Effect of Major Disruptive Events
In the event that such a circumstance occurs: - The affected party shall be temporarily excused from performing its obligations for the duration of the event, and this shall not be considered a breach of contract or of these terms.
- No party shall bear legal or financial liability for any delay or cancellation resulting from such circumstances beyond its control.
- Any party may request the cancellation or modification of a booking if performance becomes impossible due to the emergency event, after notifying the other party and the platform.
- Notification Procedures
• The affected party must notify the platform and the other party within no more than 48 hours from the occurrence of the event, while providing supporting evidence whenever reasonably possible, such as official statements, government decisions, or media reports.
• Egy Stay shall review the case and determine whether the incident qualifies as Force Majeure in accordance with applicable legal and practical standards. - Settlement of Amounts and Affected Bookings
• In the event of cancellation due to a major disruptive event, paid amounts shall be refunded or converted into future credit for the user, in accordance with the platform’s policy in effect at that time.
• The platform may deduct only actual administrative fees or banking charges, if any.
• No party shall be liable for indirect losses such as loss of income, profits, or booking opportunities. - Obligations of the Parties During the Event
• Each party shall use reasonable efforts to reduce the impact of the major disruptive event and resume normal activity as soon as possible.
• Egy Stay shall also use reasonable efforts to inform users of any updates relating to general conditions or exceptional policies during that period. - End of the Event
Once the disruptive circumstances cease and conditions return to normal:
• Contractual obligations shall resume as they existed before the event occurred.
• If resumption becomes impossible for a period exceeding 30 consecutive days, either party may request termination of the agreement without additional liability. - General Provisions
• This clause shall be interpreted in accordance with the Egyptian Civil Code and the principles of justice and fairness.
• No party may use Force Majeure as an excuse to avoid obligations if those obligations can still be performed through alternative or partial means.
• Egy Stay reserves the right to take appropriate measures to protect users and to manage cancellations or compensation in a fair and transparent manner.
